SL Green Realty Corp.  Represented this REIT in office and retail transactions, including:

• 717 Fifth Avenue: $130 million mortgage loan and $63 million mezzanine loan for the acquisition, improvement and lease-up to Armani of this high-profile retail location. Negotiated loan documents.

100 Park Avenue: $70 million construction loan for the redevelopment of this office tower. Reviewed and negotiated loan documents.

• 1140 Avenue of the Americas: $98 million disposition of this refurbished office building. Prepared purchase and sale agreement.

• The $45 million acquisition and financing of two suburban office parks in Westchester County, New York. Negotiated loan assumption agreements. Prepared purchase and sale agreement.

• The $545 million sale of a portfolio of suburban office properties following the merger of SL Green Realty with Reckson. Prepared purchase and sale agreements.

Westbrook Partners.  Represented this opportunity fund in hotel and office acquisitions, including:

• Paramount Hotel: $152 million acquisition and financing of this Times Square landmark hotel. Drafted purchase and sale agreement.

• 475 Fifth Avenue: $100 million mortgage loan and $80 million mezzanine loan for the acquisition and refurbishment of this office building located near the New York Public Library. Drafted JV agreement.

• 295 Madison Avenue: $180 million acquisition and joint venture with Moinian Group for this office building. Drafted JV agreement.

• Acquisition of a portfolio of apartment and mixed-use/retail buildings on New York’s Upper West Side. Drafted purchase and sale agreement.

Och-Ziff Real Estate.  Represented this private equity fund in developments and distressed real estate investments, including:

• Restructuring of a $300 million construction loan and joint venture for the development of a major hotel and gaming complex in Atlantic City, NJ. Drafted JV agreement. Partners included Goldman’s Whitehall Fund.

• $250 million joint venture for the acquisition and entitlement of land and urban development projects in California and the southwestern United States. Prepared and negotiated JV agreement.

• $220 million construction loan for the development of the Solaris Residences, a luxury condominium and retail complex in Vail, Colorado. Reviewed and negotiated loan documents.

Denihan Hospitality Group.  Represented this hotel development and operating company in the $800 million acquisition of the James Hotel Group, including the James Hotel Chicago, the Buckingham Hotel New York and two hotel developments in Los Angeles and Miami. Drafted JV agreement. Analyzed existing management and food/beverage agreements with David Burke and other parties.

Related Companies.  Represented this developer in the $535 million development of the Snowmass ski resort in Colorado, with retail, condominium and hotel elements. Prepared joint venture agreements.

Starrett Corp.  Represented this company in the acquisition and financing of multifamily properties and assisted in the conversion to market-rate rental units. Reviewed and negotiated loan documents.

Gramercy Capital Corp.  Represented this lender in mortgage and mezzanine loans totaling over $500 million, including loans secured by the Lipstick Building and the Atlantic Yards – Nets basketball arena. Drafted and negotiated loan documents.

Square Mile Capital.  Represented this opportunity fund in the loan-to-own purchase of numerous mezzanine loans and assisted in the formation of a $300 million fund to acquire distressed mortgage loans. Prepared and negotiated loan documents. Conducted due diligence on several B-note purchases.

Stellar Management.  Represented this company in the $175 million refinancing of the Portofino, a 600-unit multi-building apartment complex in Miami. Reviewed and negotiated loan agreements.

MetLife.  Assisted with the $5.4 billion sale of Stuyvesant Town & Peter Cooper Village. Interfaced with purchaser on all aspects of due diligence.

AIMCO.  Represented this REIT in numerous acquisitions, dispositions and financings of multifamily properties throughout the United States, totaling over $400 million. Prepared and negotiated purchase and sale agreements.

NorthStar Realty Finance.  Represented this publicly-traded investment company in the acquisition of industrial properties in the eastern United States, including the negotiation of a ground lease with a local airport authority.

Tribeca Associates.  Represented this developer in the construction financing of Smyth Hotel, a $210 million boutique hotel and condominium project in Tribeca. Reviewed and negotiated loan documents.

Wildenstein & Co.  Assisted this art gallery owner in the development and financing of luxury retail properties and condominium residences on Madison Avenue. Prepared joint venture agreements.

Americano Hotel.  Represented a development group in the acquisition and financing of a $45 million boutique hotel in the High Line/Chelsea district of New York. Negotiated joint venture agreement and loan documents.

Reckson Associates.  Represented SL Green Realty Corp. in its $4 billion acquisition of Reckson Associates, resulting in the largest office property owner in New York. Drafted purchase and sale agreements.
